SECP sets deadline for Annual General Meetings of companies

ISLAMABAD: The Securities and Exchange Commission of Pakistan (SECP) just issued an important advisory.

Specifically, the SECP advised companies with a financial year ending on June 30, 2026, to hold their Annual General Meetings (AGMs) by October 28, 2026. Furthermore, these businesses must complete their Annual Return and Ultimate Beneficial Ownership (UBO) filings without delay.

According to the official guidelines, companies must organize their AGMs within 120 days of the close of their financial year. Therefore, businesses must act swiftly to ensure timely compliance and keep their corporate information fully updated.

Annual Return Filings & UBO Requirements

Following the AGM, companies must submit specific forms based on their corporate status. For instance, businesses must file “Form A” if their company particulars have changed. Conversely, if the particulars remain completely unchanged from the last Annual Return, companies must file “Form 24”.

However, the SECP exempts single-member companies and private companies with a paid-up capital of not more than Rs. 3 million from filing an Annual Return. Consequently, these specific businesses can skip this filing entirely if their previously submitted particulars remain unchanged.

In addition to the annual returns, companies must actively fulfill their annual UBO requirements. Firstly, businesses must issue the necessary notices. Secondly, they must obtain all required declarations and updates. Moreover, companies must diligently maintain their UBO Register.

Ultimately, businesses must file “Form-19” with the Registrar alongside their Annual Return. Meanwhile, if a company does not need to submit an Annual Return, it must file Form-19 within 30 days of the end of the calendar year.
